CAAI Charter (Revised)

(Adopted at the second Plenary Meeting of the Seventh Board of Governors in August 2014)

Chapter I General Provisions

Chinese Name: 中国人工智能学会

English Name: China Association for Artificial Intelligence (CAAI)


Article 2 CAAI shall be a national non-profit academic organization voluntarily established and legally registered by scientific and technological workers engaged in the field of artificial intelligence and relevant enterprises and institutions.


Article 3 CAAI aims to carry out activities related to artificial intelligence science and technology, and to promote the theoretical research, technology, application and industrial prosperity and development of artificial intelligence science and technology in China by adhereing to the Constitution, laws, regulations, state policies, social morals and customs with all its members.


Article 4 Superior supervisor: CAAII shall accept the business guidance of the China Association for Science and Technology, and the ministry of Civil Affairs, PRC.


Article 5 Address: No. 10, Xitucheng Road, Haidian District, Beijing (inside Beijing University of Posts and Telecommunications).


Chapter II Scope of Business

Article 6 The main business of the CAAI shall include:

(I) Leading all members to carry out innovative research on artificial intelligence science and technology, and promoting the development of artificial intelligence science and technology.

(II) Motivating the whole society to learn, publicize and apply AI science and technology with high enthusiasm, and playing a leading role in the development of the national economy.

(III) Conducting domestic and international academic exchanges to raise the academic level of its members.

(IV) Seeking technological breakthroughs by collaborating in the research of scientific problems, and promoting the continuous development of artificial intelligence science and technology.

(V) Carrying out consultation and training on artificial intelligence science and technology.

(VI) Conducting activities to popularize artificial intelligence science and technology and raise the awareness of the whole society

(VII) Promoting the development and construction of artificial intelligence science and technology.

(VII) Establishing professional journals and popular journals in artificial intelligence science and technology.

(IX) Organizing the editing and publishing of academic monographs, teaching materials, professional collections and popular science works in artificial intelligence science and technology.

(X) CAAI shall organize the research and compilation of technical standards for products and industries of artificial intelligence science and technology with the approval and authorization of relevant government departments, and provide services to the state in formulating norms and standards for intelligent products.

(XI) Organizing continuing education and professional title evaluation in the field of artificial intelligence science and technology with the approval or authorization of government departments.

(XII) Organizing academic review, technical appraisal and academic awards in the field of artificial intelligence science and technology with the approval or authorization of government departments.


Chapter III Membership

Article 7 There are two types of members of the Association: individual members and group members.


Article 8 Individual members shall be classified into student members, members, senior members and fellows according to their actual contributions and roles in professional work and activities of the association.


Article 9 Members who apply for membership in the Association must meet the following requirements:

(Ⅰ)Uphold the constitution of the Association.

(Ⅱ)Volunteer to join the Association.

(Ⅲ)Have certain academic (technical) ability and influence in the field of the Association.


Article 10 The procedures for membership are as follows:

(Ⅰ)Submitting membership application or registering online

(Ⅱ)Approved by the office of the Association.

(Ⅲ)After being reviewed and approved by the counterpart professional committee, it shall be reported to the headquarter of the Association to confirm its membership.

(Ⅳ)After the applicant pays the membership fee, the institution authorized by the council will issue a membership card.


Article 11 Level and approval procedures of individual members

(Ⅰ)Student membership: University students (including undergraduate students, master students and doctoral students) who apply for membership shall be examined and approved by the counterpart professional committee and reported to the headquarter of the Association for confirmation. The headquarter will also receive applications from members and reviews, approves and confirms their membership.

(Ⅱ)Membership: For undergraduates who have worked for more than two years after graduation, for master students who have worked for more than one year after graduation, and for doctoral students who have graduated, they should apply individually and be introduced by a member. After examination and approval by the counterpart professional committee, they should report their membership to the head office of the Society for confirmation. The headquarter will also receive applications from members and reviews, approves and confirms their membership. Students with membership are not subject to the above working years and can apply for membership upon graduation.

(Ⅲ)Senior membership: members with more than 5 years of association experience (outstanding achievements and contributors are not subject to this limitation) and outstanding achievements in this field shall apply individually and be introduced by a member or senior member. The recommendation opinions shall be signed by the counterpart professional committee and reviewed and approved by the Association.

(Ⅳ)Fellow: As a senior member for more than 5 years (with special outstanding achievements and contributors are not subject to this restriction), those who have achieved outstanding achievements in this field will be nominated by 2 fellows and formally approved after being approved by the Association.


Article 12 Application and approval procedures for corporate members

Group members can be institutions of higher learning, scientific research institutions, enterprises and institutions within the business field of the Society. Units applying for group members can apply to the headquarters of the Society or the corresponding professional committee, which will be examined and approved by the headquarters of the Society.


Article 13 Members shall enjoy the following rights:

(Ⅰ)The right to elect other people, the right to be elected and the right to vote.

(Ⅱ)Priority to participate in the activities of this Association.

(Ⅲ)Preferential access to various services of the Association.

(Ⅳ)The right to criticize, suggest and supervise the work of the Association.

(Ⅴ)Membership is voluntary and withdrawal is free.


Article 14 Members shall perform the following obligations:

(Ⅰ)Implementing the resolutions of the Association.

(Ⅱ)Safeguarding the legitimate rights and interests of the Association.

(Ⅲ)Actively supporting and participating in the activities of the Association, and complete the work assigned by the Association.

(Ⅳ)Timely paying membership dues in accordance with regulations.

Reporting the situation to the Association and provide relevant information.


Article 15 Procedures and rules for withdrawal

Members should give written notice of withdrawal and return the membership card. If the member does not pay the membership fee or does not participate in the activities of the association for one year, it will be regarded as an automatic withdrawal.


Article 16 Delisting of a member

In case of any serious violation of the articles of association, the member shall be removed by a vote of the council or the standing council.

Chapter IV Formation and removal of organizations and persons in charge

Article 17 The highest authority of the association is the national congress of members, whose functions and authorities are as follows:

(1) Formulate and modify the articles of association.

(2) Election and removal of directors.

(3) Consideration of the report on the work and financial report of the council.

(4) Determine terminations.

(5) Decide other major issues.


Article 18 The national congress of members shall not be held until more than two-thirds of the members' representatives are present, and its resolution shall not take effect until more than half of the members' representatives present vote.


Article 19 The national congress of members shall be held for five years. If it is necessary to change the term in advance or postponed due to special circumstances, it shall be voted by the Council, reported to the competent business unit for examination and approved by the registration and management authority of the association. However, the extension of the term shall not exceed one year.


Article 20 The council is the executive body of the national congress of members, which leads the association to carry out daily work and is responsible for the national congress of members when it is not in session.


Article 21 Functions and authorities of the Council:

(1) Implement the resolutions of the national congress of members.

(2) Election and removal of the chairman, deputy chairman, secretary general, and executive director.

(3) Prepare for the national congress of members.

(4) Report the work and financial situation to the national congress of members.

(5) Examine and approve the admission of new members, accept and approve the application for withdrawal from the association, and decide on the removal of illegal members.

(6) Decide on the establishment of offices, branches, representative offices and entities.

(7) Decide on the appointment of the deputy secretary general and the principal heads of various agencies.

(8) Lead the work of all institutions of the association.

(9) Establish internal management system.

(10) Decide on other major issues.


Article 22 The board of directors can be convened only when more than two-thirds of the directors are present, and its resolution can take effect only when more than two-thirds of the directors present vote.


Article 23 The council shall meet at least once a year; in special circumstances, it may also be held by means of communication.


Article 24 The association shall establish a standing council, which shall be elected by the Council.

When the Council is not in session, the standing council shall exercise the functions and authorities of Article 21 (1), (3), (5), (6), (7), (8), (9) and (10), and be responsible to the council. The number of standing directors shall not exceed one-third of the number of directors.


Article 25 The Standing Council can be convened only when more than two-thirds of the standing directors are present, and its resolution can take effect only when more than two-thirds of the standing directors present vote.


Article 26 The standing council shall hold a meeting at least half a year; in case of special circumstances, it may also be held in the form of communication.


Article 27 

The chairman, deputy chairman and the secretary general are responsible for the association and must meet the following requirements:

1. Adhere to the party's line, principles and policies, and have good political quality.

2. Own great influences and academic attainment in the business fields of the association.

3. The chairman and deputy chairman shall not be more than 70 years old when they hold the position. The secretary general is full-time in principle, and generally must no more than 62 years old when holding the post. The principals of branch offices usually shall not be more than 70 years old.

4. Be in good health and able to work normally.

5. Never receive the criminal punishment for deprivation of political rights.

6. Have full civil capacity.

7. Abide by the state law, be on the straight and possess the management ability commensurate with the job.


Article 28  

If the chairman, deputy chairman and secretary general of the association exceed the maximum age, they must propose to the standing council and submit to the Secretariat of the China Association for Science and Technology for approval and then they could be elected. They could hold office only after the approval of the Ministry of Civil Affairs. The heads of CAAI branch offices exceeding the maximum age could take office only after the vote of the standing council.


Article 29  

The term of the chairman, deputy chairman, secretary general and heads of CAAI branch offices is five years. Serving for another term is permissible after the re-election, but the chairman, deputy chairman and secretary general can only be re-elected for two terms. The heads of CAAI branch offices generally serve for two terms consecutively. If the principals need to extend the terms of office due to special circumstances, before the re-election, it must receive approval by more than 2/3 of the members of the branch, report to the business unit in charge for censor and get the sanction from the agency of association registration management.


Article 30  

The chairman is the legal representative of the association. The legal representative of the association can not concurrently serve as the legal representative of other social organizations. If it is inconvenient for the chairman to perform the responsibility as the legal representative, the deputy chairman oy the secretary general could hold office after the censorship of the business unit in charge and the sanction of the agency of association registration management.


Article 31  

CAAI chairman could exercise the following authorities:

1. Convene and preside over the council (or the standing council ).

2. Check the implementation of the resolutions of the congress of the national members, the council (or the standing council ).

3. Sign relative important documents on behalf of CAAI.

4. According to the needs of the work, the association could establish the standing deputy chairman assisting the chairman to preside over the daily work of the council.


Article 32  

CAAI secretary general could exercise the following authorities:

1. Support the administrative office to carry out daily work and organize to implement the annual work plan.
